William S. Tate - Attorney

 

Bill Tate is a principal in the firm's Business section, where he practices corporate law with emphasis on corporate finance, corporate formation and reorganization, and securities and investment company regulation. Bill counsels business clients on a wide-range of structural, financial and operational issues.

Relevant Experience:

  • Advising clients in fundraising activities, including securities sales, recapitalizations and investments by private equity and institutional investors.
  • Representing national banks making commercial lines of credit, real estate loans, and construction loans.
  • Representing investment advisers and asset managers in the formation and maintenance of hedge funds, private equity funds, REITs and other investment funds.
  • Advising clients conducting private securities offerings.
  • Advising on regulatory and securities issues and managing real estate syndication and acquisitions for commercial, retail and industrial real estate operators.
  • Assisting with business acquisitions, sales and mergers.
  • Assisting a publicly traded company in a "going private" transaction and subsequent participation in a registered debt offering.
  • Negotiated a multi-state distribution agreement and related cross-investment agreement.
