Katharine A. Schkloven is a member of the firm's Business Section. Her practice focuses on mergers and acquisitions, private debt and equity fund offerings, securities regulation, private equity investments and secondary market transactions, historic tax credit investment transactions and Employee Stock Ownership Plans (ESOPs).

Relevant Experience:

  • Represented issuers in 1031 real estate syndication transactions with equity raises between $2,000,000 and $30,500,000, with a particular focus on multi-family real estate.
  • Represented biotechnology company in various stages of development raise approximately $20,000,000 in debt and equity securities to fund expansion and development of new technology.
  • Assisted various clients in the acquisition and sale of companies valued between $500,000 and $55,000,000.
  • Assist endowments and other institutional investors with evaluating and negotiating original private equity investments and purchases/sales in the secondary market.
  • Successful preparation of investment documents for and closing of historic tax credit transactions (federal and state tax credits).
  • Assisted ESOP owned chemical company in a $435,000,000 stock sale to a public company buyer.
  • Advise ESOP companies in sales transactions, IRS representation and general administration.
