The Taxation Practice Group is comprised of attorneys who are experienced in state, federal, local and international matters. Our clients include closely-held companies, partnerships, limited liability companies, tax-exempt organizations, trusts and estates, public and closely-held corporations and real estate businesses including Real Estate Investment Trusts. We provide structuring for routine and complex business and real estate transactions, joint ventures, debt modifications, mergers and acquisitions and other business reorganizations. In addition, we handle federal, state and local tax controversies and represent clients before the Internal Revenue Service and other tax authorities.

Hirschler Fleischer represents numerous clients in connection with a wide variety of state and federal tax credit transactions, including:

  • Historic Rehabilitation Credits,
  • Low-income Housing Credits,
  • New Market Credits,
  • Conservation/Land Preservation Credits.

The Tax Credit Group assists developers, real estate companies and landowners with projects intended to generate these credits, and structures, negotiates and prepares the partnership and/or other investment vehicles for syndicating such credits. In addition, the Group counsels investment entities in structuring partnerships, private investment funds (including opportunity funds) and private development entities interested in investing in these credit projects, and also counsels brokers selling such credits.

The Tax Credit Group also assists in the structuring of wetlands and streamside mitigation banks, negotiating with the U.S. Army Corps of Engineers, the Virginia Department of Environmental Quality, and other involved agencies.
