Thomas G. Voekler is an associate in the firm’s
Business Section. His practice focuses principally
on corporate finance, public and private securities
offerings (as both issuer’s and underwriter’s
counsel), merger and acquisitions and corporate
governance issues, with a particular focus on real
estate investment trusts (REITs), tenant-in-common
syndications and private equity.
The following matters illustrate Tom’s transactional
experience:
- Represented leading regional, national and
international investment banking firms in initial
and follow-on public offerings and private
placements for REITs.
- Advised public companies with respect to
corporate governance and securities law reporting
compliance and other general corporate matters.
- Acted as company counsel in an over $1 billion
merger of a mortgage REIT and a non-REIT,
corporate affiliate.
- Represented venture capital funds with respect
to preferred stock investments.
- Represented numerous sponsors in tenant-incommon
and private equity syndications.
Tom regularly speaks on topics such as corporate
governance, regulatory updates in the REIT and
TIC arena and state law issues relating to public and
private offerings.
Previously, Tom worked for an international law
firm in Richmond, Virginia. His professional
memberships include: American Bar Association,
Virginia Bar Association; NAREIT; TICA; and
Virginia State Bar. He serves on the board of
directors of and as vice-president to the ISB
Foundation. Tom is the Virginia liaison to the
ABA Committee on State Regulation of Securities;
a member of the Executive Council of the Young
Lawyer Division of the Virginia Bar Association;
and editor of The Virginia Lawyer.
Tom received his J.D. from the College of William
and Mary and his B.S., with highest distinction
in Finance, from George Mason University.
