W. Michael Walker is a shareholder in the business section of the firm. His practice focuses on the legal
(including tax) and capital needs of knowledge-based clients. Mike has significant experience in important issues
facing growing companies, including drafting business plans and raising capital, acquisitions, hiring and retaining
key employees, (including the implementation of equity-based compensation programs), and the sale of businesses.
Mike received his B.A., with distinction in 1985 and his J.D. in 1988, both from the University of Virginia. He
received his Master's of Law/Taxation (M.L.T.) from Georgetown University in 1989. Mike was admitted to the
Virginia Bar in 1988 and the District of Columbia Bar in 1990. He is a member of the Richmond, Virginia, District
of Columbia, and American Bar Associations, as well as the Tax Section of the ABA and Virginia State Bar.
Mike has handled the following recent transactions:
Represented a venture capital firm in structuring a preferred stock investment in an Internet-based push technology company which is now a successful publicly-traded company.
Represented a venture capital firm in structuring an "Executive in Residence" promissory note convertible into stock of the executive's to-be-formed company.
Represented an ESOP in connection with a $32 million leveraged recapitalization.
Represented a large architecture firm in the acquisition of another architecture firm.
Represented a real estate developer in negotiating and structuring $12 million of equity capital to acquire and develop a large parcel of real estate.
Represented shareholders of a information technology services firm in connection with an asset sale to a publicly-traded company in a transaction valued at $14 million.
Represented a venture company in raising $6.2 million in equity capital which was deployed in the Southeast and Northeast in building entertainment facilities.
Represented a manufacturing company in soliciting bids and selling the company in a $35 million transaction.
Mike was named to Virginia Business Magazine's 2007 List
of "Legal Elite."
