David S. Lionberger

Mr. Lionberger is a member of Hirschler Fleischer's business section, where his practice focuses on taxation and trusts and estates, business, intellectual property and entertainment law. Mr. Lionberger represents clients ranging from start-up to multi-national businesses, focusing on privately-held companies, with respect to federal, state and local taxation issues with respect to owner business and estate planning, executive compensation, merger, acquisition and divestiture issues, as well as assistance with preparation and negotiation of contract and legal documents. Mr. Lionberger counsels several tax-exempt organization clients with respect to formation issues, obtaining and maintaining tax-exempt status, operational and excise tax issues. Mr. Lionberger also assists his clients with intellectual property matters including preparation and prosecution of trademark and copyright filings, preparation and negotiation of license and user agreements, counsel with respect to trademark and copyright infringement matters, and assistance with Internet and domain name matters and disputes. In addition, Mr. Lionberger continues to be active in his entertainment law specialty, advising on various agreements and business, tax and intellectual property issues for artists, record labels and other industry clients.

Mr. Lionberger clerked for the Hon. William C. Koch, Jr. of the Court of Appeals for the State of Tennessee and worked in Nashville, Tennessee for the law firm of King & Ballow and the law firm of Christian & Barton in Richmond, Virginia.

Examples of matters recently handled by Mr. Lionberger include:

  • negotiating, preparing and finalizing tax-free exchange of multiple properties, including reverse exchanges
  • counseling and preparation of estate and succession plans for closely-held businesses and business owners, executives and professionals
  • assistance with capitalization and start-up of manufacturing and professional services businesses
  • preparation and finalizing sale and acquisition of existing publishing business
  • preparation and handling disputes and appeals of local personal property, sales and use and business license taxes with state and local governments and agencies within and without Virginia
  • successful preparation and prosecution for protection of numerous trademarks and copyrights for clients, and resolution of trademark and domain name disputes for clients
  • preparation and negotiation for individual artists and record labels with industry contracts
Mr. Lionberger attended law school at Washington & Lee University and received a J.D. cum laude in 1993. In 1997, Mr. Lionberger obtained an LL.M. in Taxation from New York University. Prior to attending law school, Mr. Lionberger received his B.A. from the University of Virginia in 1990.

Mr. Lionberger became admitted to practice in Tennessee in 1993, and was also admitted to practice in Virginia in 1996. Mr. Lionberger was admitted to practice before the United States Tax Court in 1997, and was admitted to practice before the United States Supreme Court in 1998.

Mr. Lionberger is a member of the American Bar Association (Taxation and Entertainment Law Sections), Virginia State Bar and Virginia Bar Association (Business Law, Taxation and Trusts and Estates Sections), Tennessee Bar Association (Taxation and Entertainment Sections), the Richmond Bar Association, and the Greater Richmond Intellectual Property Association. In 2003 Mr. Lionberger was named to the Board of Governors for the Taxation Section of the Virginia State Bar.

  • serving as Board member, current President, and Vice-President of the Richmond Kiwanis Club, Kanawha Chapter
  • serving on Special Olympics Virginia Summer Games and Summer Golf Classic event committees
  • serving as a Board member and current President, past Vice-President and past Treasurer of Oldhouse Run Neighborhood Association


Mr. Lionberger was named to Virginia Business Magazine's 2007 List of "Legal Elite."
